The video editing agreement you can paste into a DM

You do not need a PDF, a signature app or a template site to have a contract. You need the terms typed into the chat where the client briefed you, and a reply that says yes. That is a written agreement.

The lines that matter: the deliverables with a count, the price, when the money moves, how many revision rounds are included and what one is, the deadline and format, and that rights transfer on final payment. The full text is at the bottom, each line explained first so you know what you are giving up when a client pushes on one.

Why a chat message counts

Under Indian law a contract is an offer, an acceptance and something of value on each side. None of that requires paper. Section 10A of the Information Technology Act 2000 says a contract is not unenforceable only because the proposal and acceptance were sent as electronic records. A WhatsApp thread, a Discord DM and an Instagram conversation all qualify.

Two habits make the thread worth something. Send the terms as one message, so there is one block to point at. Get the acceptance in words: "agreed" or "yes, go ahead". A thumbs up reaction is weaker and silence is nothing. Screenshot the reply the day it lands, because chats get deleted and accounts get blocked.

Nobody is going to court over these amounts. The point is that the client committed to specific numbers before you did specific work, which changes the conversation when they try to move them later.

The agreement, line by line

Deliverables, with a count. "Four reels, up to 60 seconds each" is a deliverable. "Content for the month" is not. Anything not on this line is not in the price.

Price. One number, one currency, tied to the count above.

Payment timing. When the deposit is due, when the balance is due, and that the clean file goes out after the balance clears, with a watermarked preview until then.

Revision rounds. How many are included and what a round is. Defined below.

Deadline and format. First cut date, final delivery date, and the file spec. Then the client's side: footage and brief by a date, or the dates move.

Rights on final payment. You own the edit until the last payment lands, then the client owns the delivered video.

Acceptance. One closing sentence that asks for a reply.

What a revision is and what is a new request

Most unpaid hours in editing come from one missing definition. Without it, "tighten the intro" and "regrade the whole thing and swap the music" are both revisions, and a client with no number to think about asks for both.

A revision round is one consolidated set of notes on the current cut, applied once. Two rounds are included. Pixflow's freelance rate guide puts two included rounds in its example contract line, with extra rounds priced per round or per hour, and that is the pattern to copy.

A new request is anything that changes the brief rather than the cut: new footage, a different length or aspect ratio, a change of style after the first cut is approved, or notes that reverse an earlier round. It gets a price in the thread before you touch the timeline.

Notes that arrive in five messages over two days are still one round. Say so once: "I will collect these into round one and apply them together on Thursday."

Deposit, milestones and the kill fee

A deposit shows the client can pay before you spend an evening on their footage. Ask plainly: "I start on receipt of the deposit." No apology attached.

Two payments cover most jobs: a deposit before you open the timeline and the balance before the clean export goes out. For a single video, ask for half up front; for a monthly retainer, the month in advance, because a retainer paid at the end is a loan. On anything longer than a week, split the balance across stages: rough cut, fine cut, final.

The kill fee is what you keep if the client cancels after work has started. In a chat message, the deposit is the kill fee: not refundable once work begins, and it says so in the deposit line.

Rights transfer on final payment, and what you keep

The rights line gives the client full ownership of the delivered video once the last payment clears, and keeps the edit yours until then.

That second half is what gets the invoice paid. A client holding a watermarked preview has a reason to settle; one holding the clean file has a reason to reply next month. The clean export goes out after the balance, never before, which is the whole argument of the free trial edit post.

Write down what you keep: portfolio use of the finished video unless the client asks in writing for it to stay private, and your project files and presets. The project file, if the client wants it, is a separate line with its own price.

The India lines: UPI on the invoice and the minor clause

Put your UPI ID on the agreement and every invoice, next to your name as it appears on the bank account. That removes one reason to delay, and a UPI transaction with your name on it is clean proof of payment for both sides.

If you are under 18, put the agreement and the invoice in a parent's or guardian's name, with payment to their account; the under 18 and clipping post explains why a minor's agreement binds nobody, the client included.

When the client says they do not do contracts

Some will, and the lines are familiar: "we keep it casual", "send the sample and we will sort paperwork later".

Answer the worry underneath the word. "It is not a contract, it is the summary of what we agreed so neither of us has to remember. Reply agreed and I will start." A client who was always going to pay loses nothing by saying so.

If they will not confirm the count, the price and the payment timing in writing, in any form, that is your answer about the invoice too.

Drop a line you can live without, keep the deposit and the revision definition, and if that still fails, let the job go. The evening you would have worked for free is still there for the next client.

6. Rights: you own the delivered videos once the final payment clears. Until then they are mine and previews carry a watermark. I keep my project files and may show the finished videos in my portfolio unless you ask in writing that they stay private.

Reply "agreed" and I will start on receipt of the deposit.
